1. About us and these terms
1.1 EI Portal is operated by EI Portal Ltd, a company registered in England and Wales (company number 17251905), registered office Warwick Place, Bognor Regis, West Sussex, PO22 7PX.
1.2 These Terms of Use ("Terms") govern your access to and use of the Service. By accessing or using the Service you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Service.
1.3 The following additional documents also apply and form part of your agreement with us:
- our Privacy Policy;
- our Cookie Policy;
- our Acceptable Use Policy; and
- our Disclaimer & Limitation of Liability.
If there is any conflict between these Terms and the Disclaimer & Limitation of Liability in respect of liability, the Disclaimer & Limitation of Liability prevails.
1.4 We may amend these Terms from time to time (see clause 16).
2. Definitions
- "Content" means all material on or made available through the Service, including text, tools, calculators, models, formulae, methodologies, charts, diagrams, visualisations, data, reference material, software and design.
- "Tools" means the calculators, simulators, visualisers, reference utilities and other interactive features of the Service.
- "Output" means any result, value, plot, chart, interpretation, report or other output produced by a Tool.
- "User", "you" means any person who accesses or uses the Service.
- "Account" means a registered user account for the Service (where offered).
3. The Service
3.1 EI Portal provides electrical-engineering tools, calculators, reference material and visualisations relating to protection, design, distribution, earthing, power-system and related studies, intended as a professional aid for qualified engineers and other competent users.
3.2 The Service is currently provided in beta. It is under active development, is provided on an "as is" and "as available" basis, may contain errors or omissions, and may be changed, suspended or withdrawn at any time. Features, Tools and availability may change without notice.
3.3 The Service is informational and is not a substitute for professional engineering judgement. You are responsible for independently checking and verifying any Output before relying on it. The important limits on what the Service does and does not do are set out in clause 9 and in the Disclaimer & Limitation of Liability, which you should read in full.
3.4 The Service is intended for business and professional use by competent persons. It is not directed at consumers or children and is not intended for use by anyone under 18.
4. Access and accounts
4.1 During beta, access may be controlled (for example by an invitation or access list). You must not attempt to access the Service, any account, or any part of the Service that you are not authorised to access, or circumvent any access control.
4.2 Where accounts are offered, you must provide accurate information, keep your credentials confidential, and not share your Account. You are responsible for all activity under your Account. Notify us promptly at info@eiportal.com if you suspect any unauthorised use.
4.3 We may suspend, restrict or terminate access or an Account where we reasonably believe these Terms or the Acceptable Use Policy have been breached, or to protect the Service, other users or us.
4.4 Access tiers / plans may determine which Tools and features are available to you. We may change the composition of plans and the allocation of features between them.
5. Fees and subscriptions
5.1 The Service is currently provided free of charge during beta. We may introduce paid plans and subscriptions in future.
5.2 If we introduce paid plans, we will publish clear pricing and billing terms — including renewal, cancellation and any applicable statutory cancellation rights — before you are asked to pay anything, and will update these Terms at that time.
6. Your use of the Service
6.1 You must use the Service only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy.
6.2 You must not:
- (a) use the Service in any way that breaches any applicable law or regulation;
- (b) copy, reproduce, republish, scrape, harvest, frame, or systematically extract Content except as expressly permitted in clause 7;
- (c) reverse engineer, decompile, disassemble or attempt to derive the source code, formulae, calculation methodologies or underlying logic of the Tools, except to the extent this restriction cannot lawfully be excluded;
- (d) use any automated means (bots, scrapers, crawlers) to access the Service except a public search engine acting in accordance with our
robots.txt; - (e) introduce any malware, or attempt to gain unauthorised access to, interfere with, damage or disrupt the Service, its servers or any connected network;
- (f) place an unreasonable or disproportionately large load on the Service; or
- (g) misrepresent any Output as certified, approved, independently verified, or as the professional advice of EI Portal Ltd or any individual.
7. Intellectual property
7.1 All intellectual property rights in the Service and the Content (including the Tools, their calculation methodologies, design, software, text and visualisations) are owned by or licensed to EI Portal Ltd. All rights are reserved.
7.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service.
7.2A Output is yours to use in your work. You may use, reproduce and incorporate Output in your own professional work product — including designs, calculations, studies, reports and deliverables prepared for your employer or clients — provided that:
- (a) you first verify the Output as required by clause 9 and remain responsible for it as part of your work;
- (b) you do not present Output as certified, approved or independently verified by EI Portal Ltd (clause 6.2(g)); and
- (c) you do not use Output to create, train or improve a product or service that competes with the Service, or republish Output systematically so that it substitutes for use of the Service.
7.2B This licence does not permit you to resell, redistribute, sub-license or commercially exploit the Service, the Tools or the Content themselves (as opposed to Output you have generated for your work).
7.3 "EI Portal", our logos and our branding are trademarks and/or trade names of EI Portal Ltd. You may not use them without our prior written consent.
7.4 Standards, device numbers, vendor names and similar third-party references used within the Service for interoperability, education or reference remain the property of their respective owners, and are used for identification and reference only.
8. Your inputs, feedback and content
8.1 You retain ownership of any data, values or information you enter into the Tools ("Inputs"). You grant us a licence to process Inputs solely to operate and provide the Service to you. Our handling of any personal data is described in the Privacy Policy.
8.2 You are responsible for ensuring you have the right to use any Inputs and that they do not infringe any third party's rights or any duty of confidentiality you owe.
8.3 If you send us feedback, suggestions, bug reports or ideas ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it without restriction or obligation to you. Please do not send us confidential or proprietary information as Feedback.
9. Engineering disclaimer — please read
9.1 The Tools and Output are provided for information and as a professional aid only. They are not, and must not be relied upon as, professional engineering, safety, design, legal or other advice.
9.2 Output is indicative and must be independently verified by a competent person before being used for any design, specification, safety, compliance, commissioning or sign-off decision. You remain solely responsible for the engineering decisions you make and for compliance with all applicable standards, regulations and project requirements (including, where relevant, BS 7671, BS EN, IEC, IEEE and equivalent standards), which may differ from, or be more recent than, any reference within the Service.
9.3 We do not warrant that any Output is accurate, complete, current, error-free or fit for any particular purpose.
9.4 The full position, including the limitation and exclusion of our liability, is set out in the Disclaimer & Limitation of Liability, which forms part of these Terms.
10. Availability
10.1 The Service is provided on an "as available" basis. We do not guarantee that the Service, or any Tool, will be uninterrupted, available, secure or error-free. There is currently no service-level commitment.
10.2 We may suspend, withdraw, restrict or change all or any part of the Service for business or operational reasons, and will try to give reasonable notice where appropriate.
11. Third-party links and resources
The Service may contain links to third-party websites, standards or resources. Those links are provided for convenience only; we have no control over and accept no responsibility for third-party content or sites.
12. Limitation of liability
12.1 Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.
12.2 Subject to clause 12.1, and as further detailed in the Disclaimer & Limitation of Liability:
- (a) the Service is provided without warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement, all of which are excluded to the fullest extent permitted by law;
- (b) we will not be liable for any loss or damage that is not foreseeable, or for any indirect or consequential loss, or for loss of profit, revenue, contracts, business, anticipated savings, goodwill, or loss or corruption of data, in each case however arising; and
- (c) our total aggregate liability arising out of or in connection with the Service and these Terms (whether in contract, tort including negligence, breach of statutory duty, or otherwise) is limited to the greater of the total fees you paid to us for the Service in the 12 months before the event giving rise to the claim, or £100.
12.3 If you are a consumer, you have legal rights that are not affected by these Terms; nothing here limits those statutory rights.
13. Indemnity
If you use the Service in the course of a business, you agree to indemnify us against any losses, liabilities, costs and expenses we reasonably incur arising out of your breach of these Terms or the Acceptable Use Policy, or your misuse of the Service or any Output.
14. Suspension and termination
14.1 We may suspend or terminate your access immediately if you breach these Terms.
14.2 You may stop using the Service at any time. Provisions which by their nature should survive termination (including clauses 7, 9, 12, 13 and 17) will continue to apply.
15. Events outside our control
We will not be liable for any failure or delay in performing our obligations where caused by events outside our reasonable control.
16. Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date shows when they were last changed. Material changes will be notified by a reasonable means (for example a notice on the Service). Your continued use after changes take effect constitutes acceptance.
17. General
17.1 These Terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction (subject to any non-excludable rights of a consumer to bring proceedings in their place of residence).
17.2 If any provision is found to be unenforceable, the remaining provisions continue in force.
17.3 No failure or delay by us in exercising a right is a waiver of that right.
17.4 You may not assign or transfer your rights under these Terms without our consent. We may assign our rights and obligations, provided this does not adversely affect your rights.
17.5 These Terms are between you and us. No other person has any rights to enforce them under the Contracts (Rights of Third Parties) Act 1999.
